LITTLE ROCK - Republican gubernatorial candidate and former Homeland Security undersecretary Asa Hutchinson is lending his expertise to another penny stock involved in terrorism preparedness, an Arizona biotech firm announced Thursday.

ImmuneRegen BioSciences, a unit of BioSciences Holdings Inc., announced that it named Hutchinson as a senior advisor to its bioterrorism preparedness advisory board.

ImmuneRegen owns the rights to the proprietary drugs Radilex and Viprovex, which the Scottsdale, Ariz., company boasts are able to counter the deadly after-effects of acute radiation sickness and anthrax poisoning.

In his role, Hutchinson will help ImmuneRegen develop a plan to get the medicine, which the company describes as potentially life-saving, to market in the event of a biological or nuclear disaster, said Michael Wilhelm, the company's chief executive.

"This signals to investors that there is confirmation that the company is confident in bringing a product like this out," Wilhelm said. "It validates that we are being looked at by higher powers."............

Wilhelm said his company is currently involved in testing the exploratory drugs with the hope of getting them to market in the next 12 to 18 months, upon approval from the Federal Drug Administration.

Wilhelm said ImmuneRegen will use Hutchinson's knowledge and experience to help guide the company's strategic plan relating to federal "bioshield" legislation.

The company also hopes the former high-level Homeland Security official can help it get Radilex and Viprovex on the nation's emergency preparedness stockpile list......................

ImmuneRegen will be the fourth penny stock company that Hutchinson or his Little Rock consulting firm, Security Strategies, has signed on with since the former Congressman left the Homeland Security Department in early March.

Nearly all of the companies trade over-the-counter, or as pink sheets, bulletin board or penny stocks, which are not regulated as closely as publicly traded corporations listed on the New York or Nasdaq stock exchanges.

The companies also share the common thread of being involved in the homeland security business, said Hutchinson spokesman David Kinkade, adding that the Republican gubernatorial candidate will not receive any compensation in his advisory role with ImmuneRegen.

"But he has options for stock purchase at a later time," Kinkade said.

In July, Hutchinson joined GVI Security Solutions Inc., a Carrollton, Texas-based security firm that provides video surveillance for government agencies and businesses.

Hutchinson was named to the board of Bellevue, Wash.-based Saflink Corp. in March, the same month he became a major stockholder in Fortress America Acquisition Corp. in Bethesda, Md.

Saflink is working with software giant Microsoft Corp. to create a software for the government's "register traveler" program that helps screen and identify travelers at special airport checkpoints.

Fortress is a startup over-the-counter company that touts itself as a homeland security buyout firm.

Hutchinson also agreed in March to become head of the homeland security consulting practice for Washington, D.C.-based law firm Venable LLP while living in Little Rock.

Kinkade downplayed Hutchinson's alignment with highly speculative penny stocks rather than seeking board positions with fully reporting NYSE or Nasdaq companies, which have several layers of regulatory oversight.

"If you look at the type of product that this company is looking to market, you are looking at something that has the potential to save a lot of lives and that is something that he (Hutchinson) is interested in," Kinkade said. "It is a high-risk investment, but not the kind of company that the typical investors would put his money in."

Wilhelm said his company chose to be listed as a penny stock because of the difficulty in raising capital. He said the company has spent more than $10 million in marketing itself in the past year, and is currently seeking a second round of financing to move into the development stage.

"There is no doubt that we intend to go to a higher stock exchange," Wilhelm said. "Many larger companies started the same way we did."

The company's stock closed Thursday at 28 cents.

Allen's Undisclosed Stock Options Were Worth Up to $1.1 Million

Oct. 10 (Bloomberg) -- Stock options that Senator George Allen described as worthless were worth as much as $1.1 million at one point, according to a review of Senate disclosure forms and U.S. Securities and Exchange Commission filings.

The records appear to contradict remarks he made to the Associated Press. ``I got paid in stock options which were worthless,'' AP quoted him as saying.

Allen served as a board member of Chantilly, Virginia-based Xybernaut Corp. from 1998 until December 2000 and was awarded options on 110,000 shares during that period. His Senate financial disclosure form for 1999, required for candidates as well as officeholders, doesn't report that he owned the options. ..............................

Allen left Xybernaut at the end of 2000 after he was elected to the Senate. The company makes portable computers that can be strapped to the body for military or civilian uses.

SEC records showed that Allen owned 60,000 options at the end of 1999, worth $38,200. For 2000 and 2001, he filed amendments to his annual disclosures stating that he owned Xybernaut options.

60,000 Options

In March 2000, Allen held 60,000 options when Xybernaut shares closed at an all-time high of $23.75. That would have made the options worth $1.1 million, less commissions and fees, had Allen exercised them.

At that time, Allen could have paid $5.47 and $1.56 respectively for two groups of options, sold them and pocketed the difference. He was awarded another 50,000 options in October 2000.

Greg Walden, an attorney at Patton Boggs LLP in Washington who represents Allen, said the options with Xybernaut expired 90 days after Allen left the board in December 2000.

Walden said Allen never exercised the options. They became worthless as the share price fell. The company went bankrupt in 2005.

A filing by Allen, which Xybernaut forwarded to the SEC in February 2001, shows that he had the right to exercise all the options at the end of 2000. The options were to begin to expire in 2008. Allen also reported owning the options on his 2002 and 2003 Senate financial disclosures, long after Walden said they had expired.

Chief Executive

Xybernaut Chief Executive Perry Nolen referred reporters to Allen's Senate office. ``I've helped them by providing information to them. So it should be accurate,'' Nolen said.

The company, which now has a market capitalization of less than $1 million, raised $173 million from investors since first going public 10 years ago. It never had a profitable quarter.

By the end of 2000, Xybernaut's share price had plummeted to $1.69, and Allen's options were worth just $1,300.

In 2001, Allen's first year in the U.S. Senate, the company's share price recovered to $5.46 on May 25, which would have valued 110,000 options at $71,500 before commissions and other brokerage fees. Some of the options exceeded their strike price as recently as July 2004.

Allen wrote a letter to the U.S. Army on Xybernaut's behalf in December 2001, AP reported, citing John Reid, Allen's spokesman, who told AP he wouldn't disclose the contents of the letter. In September 2003 the U.S. Defense Department announced $2.13 million in contracts to buy the company's wearable computers.

Accounting Rule Change

In the Senate, Allen opposed an accounting rule change that requires companies to list options as an expense on their financial reports. Allen co-sponsored a measure to block the rule change and in a hearing that year linked the awarding of stock options to increasing the security of U.S. troops in Iraq.

He said stock options make investments in technology companies more attractive, leading to innovations that helped make ``it safer for our men and women in uniform.''

TALLAHASSEE - Republican gubernatorial candidate Charlie Crist is the subject of a new book that claims the attorney general tried to "whitewash" an investigation into now-bankrupt talent and modeling agencies.

The book, "Under Investigation," was written by Les Henderson, an Ontario man who has previously written about how scams are operated. He is publishing the 511-page book himself. Crist's campaign manager George LeMieux was deputy attorney general under Crist and is at the center of Henderson's claim that the investigation was dismissed for political reasons.

LeMieux said Monday the claim was "without merit" and that neither he nor Crist had any role in deciding how investigations were pursued, leaving those decisions to staff attorneys around the state.

Beginning under Crist's predecessor, Bob Butterworth, the attorney general's office investigated a number of complaints against various modeling agencies that were later purchased by Lou Pearlman. Pearlman is a well-known entertainment entrepreneur and managed famous "boy bands" the Backstreet Boys and N'Sync. Pearlman and his affiliated companies gave $5,000 to Crist's gubernatorial campaign in June 2005, more than a year after the attorney general's investigation was dropped.

The Attorney General's Office began investigating the companies in 2002 after receiving more than 2,000 complaints and continued when Crist took office in January 2003. Many of the complaints were based on actions of scouts from the businesses who would approach individuals in public with assertions that they could become models. Those interested were then asked to pay about $1,000 to be listed on Internet sites with assurances of finding work.

The head of the attorney general's local economic crimes unit in Orlando that led the investigation, Jackie Dowd, said Monday she had prepared a lawsuit based on deceptive business practices against the companies. But she said she was dismissed after 11 years with the unit with no reason in early 2004 before the suit could be filed.......
